The primary responsibility of the Board is to represent and advance Shareholders’ interests and to protect the interests of stakeholders. To fulfill this role the Board is responsible for the overall corporate governance of the Company including its strategic direction, establishing goals for the company and monitoring the achievement of these goals.
The responsibilities of the Board include:-

  • Formulation, review and approval of the strategic direction of the Company.
  • Protection and enhancement of shareholder value.
  • The creation, where necessary, of sub-committees such as our Audit Committee in order to enhance the efficiency of the board.
  • Approving all significant business transactions including, amongst other things, acquisitions and capital expenses.
  • The identification of significant business risks and ensuring that such risks are adequately addressed and managed.
  • Monitoring the financial performance of the Company by reviewing and, if warranted, approving budgets and monitoring results.
  • Reviewing the performance and recommending remuneration for executive Directors and key personnel.
